This Creator Agreement (“Agreement”) is between you (“Creator”) and Picture Pond Media LLC-FZ (“Ooforia”, “we”, “us”), a company registered in Dubai, UAE. By publishing your profile on Ooforia or accepting a booking, you agree to the following terms.
1. What Ooforia Does
Ooforia operates a Creator Collective — a platform that connects food content creators with brands. We are not your employer or agent. We provide tools, visibility, and payment infrastructure. You remain an independent contractor at all times.
2. Your Profile
You agree to provide accurate information on your profile, including your name, social media handles, follower counts, and rates. Misleading or false information may result in profile removal. You can update or unpublish your profile at any time.
3. Bookings & Deliverables
When a brand books you through Ooforia, you commit to delivering the agreed content (posts, reels, stories, videos) within the timeline specified in the booking. “Delivery” means the content is published on your social media account(s) as agreed.
If you cannot fulfill a booking, you must notify Ooforia within 48 hours of being notified. Repeated cancellations may result in profile suspension.
4. Content Standards
All content you create must be original, authentic, and comply with the brand’s brief. You agree to:
Clearly disclose the partnership using #ad, #sponsored, or equivalent as required by local advertising laws
Not use artificial engagement (bought likes, followers, comments, saves) — this is grounds for immediate removal and forfeiture of payment
Not post content that is offensive, discriminatory, or harmful
Follow the brand’s guidelines, hashtags, and messaging as specified in the brief
5. Payment
When a brand books you, they pay upfront through Stripe. Ooforia holds these funds securely. Your payout is calculated as the booking amount minus Ooforia’s platform commission (currently 15%).
Payouts are released after the brand approves your delivered content. Ooforia will transfer your payout via bank transfer (Wise or equivalent) within 14 business days of brand approval.
If your content is not delivered as agreed, the brand may request a revision or cancellation, and the payout may be withheld or adjusted.
6. Integrity & Zero Tolerance
Zero Tolerance Policy
Any use of bots, paid engagement services, engagement pods, or any method to artificially inflate metrics will result in immediate and permanent consequences.
Immediate disqualification from the campaign
Forfeiture of all payment for that booking
Permanent ban from the Ooforia platform
Notification to the brand
7. Intellectual Property
You retain ownership of all content you create. By fulfilling a booking, you grant the brand a non-exclusive license to repost, share, and use the content for their marketing purposes for 12 months from the date of publication, unless otherwise agreed in the booking brief.
8. Confidentiality
You agree to keep booking details, brand briefs, product information, and payment terms confidential. Do not share campaign details publicly before the agreed launch date.
9. Taxes
As an independent contractor, you are solely responsible for reporting and paying any income taxes owed in your jurisdiction. Ooforia does not withhold taxes on your behalf.
10. Dispute Resolution
If a brand raises a concern about your delivered content — whether it matches the brief, meets quality standards, or was delivered on time — the following process applies:
Ooforia’s founder, Youssef El Deeb, will review the dispute together with the brand
You will be asked to share your perspective and any supporting evidence
Youssef and the brand will make a joint decision based on: the original brief, the delivered content, and reasonable industry standards
This joint decision is final and binding
This process exists to protect everyone fairly. Ooforia will always ensure your voice is heard, and decisions are based on facts — not simply who paid.
11. Termination
Either party can end this relationship at any time. You can unpublish your profile and stop accepting bookings. Ooforia may remove your profile for violation of these terms. Any pending bookings at the time of termination must still be fulfilled or formally cancelled.
12. Limitation of Liability
Ooforia acts as a platform connecting creators and brands. We are not liable for disputes between you and a brand beyond facilitating communication. Our total liability to you is limited to the amount of your most recent payout.
13. Changes to This Agreement
We may update these terms from time to time. If we make significant changes, we’ll notify you by email. Continuing to keep your profile published after changes take effect means you accept the updated terms.
14. Governing Law
This Agreement is governed by the laws of the United Arab Emirates, with disputes subject to the courts of Dubai.
Acceptance
By publishing your profile on Ooforia, you confirm that you have read, understood, and agree to this Creator Agreement.
